1. Acceptance of Terms

By accessing or using AI-Native Upskill (the "Service", "we", "us", "our"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to all of the Terms, do not use the Service.

2. The Service

AI-Native Upskill is a self-paced online learning platform focused on AI-native skills. The Service includes courses, lessons, practice exercises, an AI learning assistant ("Nova"), and related features. Features and content may change, be added, or be removed at our discretion.

3. Accounts

You may need to create an account to access certain features. You are responsible for keeping your credentials confidential and for all activity under your account. You agree to provide accurate information and to notify us promptly if you suspect unauthorized access.

You must be at least 13 years old to create an account (or the age of digital consent in your jurisdiction, whichever is higher).

4. Acceptable Use

You agree not to:

• Circumvent, disable, or interfere with security or access-control features of the Service.
• Scrape, bulk-download, or systematically extract content from the Service without our prior written permission.
• Submit automated or fraudulent progress events, attempt to forge completion of course content, or otherwise manipulate progress/gamification mechanics.
• Upload or submit malicious code, including through the practice editor or AI assistant.
• Use the Service to violate any law, infringe any intellectual-property right, or harass or harm others.

We may suspend or terminate your account for any breach of these restrictions.

5. Content and Intellectual Property

Course content, lesson text, practice exercises, and software are owned by us or our licensors. You receive a limited, non-exclusive, non-transferable license to access the content for personal, non-commercial learning purposes.

Your submissions (practice-editor code, AI-assistant chat messages, etc.) remain yours. You grant us a non-exclusive license to process those submissions to operate the Service (including transmitting them to our AI providers for inference).

6. AI Assistant ("Nova")

Nova uses third-party large language models. AI responses may be incorrect, incomplete, or misleading. Do not rely on Nova for professional, legal, medical, or financial advice. Your prompts and context (including lesson content and your questions) may be transmitted to our AI providers for inference; those providers' terms apply to that processing.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, error-free, or secure operation.

8. Limitation of Liability

To the maximum extent permitted by law, we and our affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising from your use of the Service.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Service and update the "Last updated" date. Continued use of the Service after an update constitutes acceptance of the updated Terms.

10. Termination

You may stop using the Service at any time by deleting your account (contact us if no self-service option is available). We may suspend or terminate your access for any reason, including violation of these Terms.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which we are organized, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located there for any dispute arising out of or relating to these Terms, subject to any mandatory consumer-protection laws in your country of residence.
